CFTC Charges KuCoin with Operating Unregistered Digital Asset Derivatives Exchange
The Commodity Futures Trading Commission has filed an enforcement action against KuCoin and affiliated entities for operating an unregistered digital asset derivatives platform and failing to enforce compliance rules.

The Commodity Futures Trading Commission (CFTC) has announced a civil enforcement action in the U.S. District Court for the Southern District of New York against Mek Global Limited, PhoenixFin PTE Ltd., Flashdot Limited, and Peken Global Limited, which collectively operate the centralized digital asset trading platform known as KuCoin. The regulator charges the entities with multiple violations of the Commodity Exchange Act (CEA) and CFTC regulations.
According to the CFTC complaint, KuCoin operated an illegal digital asset derivatives exchange by dealing in off-exchange commodity futures transactions and leveraged, margined, or financed retail commodity transactions. KuCoin allegedly solicited and accepted customer orders without registering with the CFTC as a futures commission merchant (FCM), failed to diligently supervise its activities, and operated an unregistered facility for trading or processing swaps without obtaining status as a swap execution facility (SEF) or designated contract market (DCM).
The CFTC further alleges that KuCoin failed to implement an effective customer identification program (CIP) and Know Your Customer (KYC) procedures. Between approximately July 2019 and June 2023, the platform allegedly allowed individuals residing in the United States to trade commodity derivatives and leveraged transactions. Although the platform claimed to enforce compliance measures, the CFTC states these controls were ineffective, as KuCoin did not enforce IP address blocks or prevent access through virtual private networks (VPNs), allowing U.S. users to trade freely on the exchange.
In addition to the CFTC civil action, the U.S. Attorney's Office for the Southern District of New York filed a related criminal indictment against PhoenixFin PTE Ltd., Flashdot Limited, and Peken Global Limited. The criminal charges include violations of the Bank Secrecy Act, operating an unlicensed money transmitter business, and conspiracy to commit these offenses. In its ongoing civil litigation, the CFTC is pursuing civil monetary penalties, disgorgement of ill-gotten gains, permanent trading and registration bans, and permanent injunctions.
The regulatory action underscores the risks of trading on offshore, unregistered digital asset platforms. The CFTC strongly urges retail investors to verify any firm's registration status through the National Futures Association (NFA) BASIC database before depositing funds, and warns against transacting with unregistered entities. Members of the public can report suspicious platform activities directly to the CFTC Division of Enforcement.
