The U.S. Securities and Exchange Commission (SEC) has announced a proposal to rescind Rule 14a-8 under the Securities Exchange Act of 1934, alongside comprehensive reforms to the proxy solicitation process.
According to the Commission, the move to rescind the shareholder proposal rule comes as the agency determined the measure exceeds its statutory authority and intrudes into matters governed by state corporate law.
The regulatory reform aims to reshape corporate governance frameworks and proxy voting rules, clarifying the boundaries of federal regulatory oversight while modernizing proxy solicitation requirements for public issuers and investors.
