The Commodity Futures Trading Commission (CFTC) has announced a significant step toward regulatory clarity by issuing a joint no-action letter that harmonizes three separate definitions of "U.S. person" under its Dodd-Frank Act cross-border swap framework. Announced by CFTC Acting Chairman Caroline D. Pham, the initiative was developed and issued by the Market Participants Division, the Division of Clearing and Risk, and the Division of Market Oversight. The action aims to simplify and consolidate multiple existing no-action positions, addressing nearly 15 years of regulatory uncertainty surrounding cross-border market access. In addition to streamlining internal CFTC regulatory standards, the consolidated no-action relief fosters closer alignment with Securities and Exchange Commission (SEC) regulations, reducing complexity for financial institutions and market participants operating across global derivatives markets.
